Terms and Conditions for INFOTRONICX™ Hospital Management Information System (HMIS) SaaS Subscription

Welcome to the INFOTRONICX™ Hospital Management Information System (HMIS) (the "Service"). These Terms and Conditions (the "Terms") govern your access and use of the Service provided by Infotronicx Private Limited ("Infotronicx," "we," "our," or "us"). By subscribing to or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.


1. Definitions

1.1 Service: The INFOTRONICX™ HMIS SaaS platform, including software, updates, and related documentation, designed for hospital and healthcare management.
1.2 Subscriber: The healthcare provider, hospital, or individual subscribing to the Service.
1.3 Agreement: These Terms and any additional agreements or policies referenced herein.


2. Subscription and Usage

2.1 Subscription Grant: Infotronicx grants the Subscriber a non-exclusive, non-transferable right to access and use the Service under the terms of this Agreement.
2.2 Usage Restrictions: You may not:

  • Modify, copy, or reverse-engineer the software.
  • Use the Service in a manner that violates applicable laws or healthcare regulations.
    2.3 Subscription Plans: Access to the Service is based on subscription tiers, which include specific limits on features, usage, and support levels.

3. Fees and Payment

3.1 Subscription Fees: Fees are payable in advance and are non-refundable except as required by law.
3.2 Late Payments: Late payments may result in suspension or termination of the Service.
3.3 Taxes: Subscriber is responsible for all taxes, duties, and levies arising from the subscription.


4. Subscriber Responsibilities

4.1 Account Security: The Subscriber is responsible for maintaining the confidentiality of login credentials and for all activities conducted under their account.
4.2 Data Compliance: You must ensure all data entered into the Service complies with applicable laws, including data protection laws such as HIPAA (if applicable) and other relevant healthcare regulations.


5. Infotronicx Responsibilities

5.1 Service Uptime: Infotronicx will use commercially reasonable efforts to ensure Service availability.
5.2 Maintenance: Scheduled maintenance windows will be communicated in advance. Emergency maintenance may occur as needed.
5.3 Support: Infotronicx provides support as specified in the selected subscription plan.


6. Confidentiality and Data Security

6.1 Confidential Information: Both parties agree to maintain the confidentiality of any non-public information disclosed in connection with the Service.
6.2 Data Ownership: Subscriber retains all rights to patient and operational data entered into the Service.
6.3 Data Protection: Infotronicx will follow industry-standard practices to secure Subscriber data, including encryption, regular audits, and compliance with healthcare data security standards.


7. Compliance with Healthcare Regulations

7.1 Regulatory Compliance: Infotronicx will provide features to help Subscribers meet compliance requirements such as HIPAA, GDPR, and Indian IT Act 2000 (as amended).
7.2 Subscriber's Responsibility: It is the Subscriber's responsibility to ensure their use of the Service complies with applicable healthcare regulations.


8. Term and Termination

8.1 Term: This Agreement is effective for the subscription term selected by the Subscriber.
8.2 Termination for Cause: Either party may terminate this Agreement for material breach after providing written notice and a 30-day cure period.
8.3 Effect of Termination: Upon termination, Subscriber access to the Service will cease, and Infotronicx will delete Subscriber data after 30 days unless otherwise agreed.


9. Limitation of Liability

9.1 No Warranty: The Service is provided "as-is" and "as available" without warranties of any kind.
9.2 Liability Cap: Infotronicx’s total liability is limited to the amount paid by the Subscriber in the 12 months preceding the claim.


10. Indemnification

Subscriber agrees to indemnify and hold Infotronicx harmless from claims, damages, or expenses arising from their use of the Service, violation of this Agreement, or non-compliance with healthcare laws and regulations.


11. General Provisions

11.1 Governing Law: This Agreement will be governed by the laws of India.
11.2 Dispute Resolution: Any disputes shall be resolved through arbitration in Ahmedabad, Gujarat, as per the Arbitration and Conciliation Act, 1996.
11.3 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements.
11.4 Force Majeure: Infotronicx will not be liable for delays or failure to perform due to events beyond its control.
